  • SBIR Data Rights: If any portion of the Site references or provides access to SBIR-developed technology, such information is subject to the protection periods and restrictions outlined in applicable SBIR clauses.

  • Flowdown Clauses: Contractors and subcontractors using the Site in support of federal contracts must ensure compliance with applicable flowdown clauses as required by their prime or sub agreements.

You may access and use the Site for lawful purposes only. You may not use the Site:

  • To attempt unauthorized access to any systems, servers, or networks connected to the Site.

This limitation does not apply to liability for death or personal injury caused by our gross negligence or fraud, or other liability that cannot be excluded or limited under applicable law.

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the United States and the State of North Carolina, without regard to conflict of law provisions.

Disputes involving U.S. Government contracts are subject to applicable federal contract dispute processes, including but not limited to the Contract Disputes Act (CDA) and the jurisdiction of the U.S. Court of Federal Claims.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have had between us regarding the Services.
